What do I loose if I put a NetApp 3140 gateway infront of an old DS4500 instead of getting a nice shiney 2040? (other than the hardware differences in the controllers that is). Are there limitations on what you can do with a v series box? Do you just zone LUNs to the v system and it formats them with WAFL?

Adding to what Adam wrote ...
NetApp software is priced the same with V-Series as with FAS systems. There is a ~30% higher cost for the controller itself that is applied as something called the "V-Series Software License". This license funds the engineering team that makes sure V-Series is throroughly tested with supported disk arrays.
A NetApp representative or certified partner can give you official pricing.
