Scott is right re. traditional NetApp licensing. The base OS licence used to be (and still is AFAIK) perpetual and transferable (bound to the system S/N), however the right to download and install upgrades or maintenance releases requires an active maintenance subscription, which is not transferable.
 
So if you buy a used filer, you only have the right to use the last version of Data OnTap available at the time the unit was sold or when the previous owner's support contract ran out, whichever came first. And you can only use the protocol licences that were purchased for that system. 
 
You need to ensure with your used filer that you are given the legitimate licence codes for the protocol licenses that were purchased during the previous owner(s)' history of the box.
 
If you do want to add protocols, then as Steve Roach from NetApp has stated you first need to also purchase a software subscription for Data OnTap. This will also then allow you to upgrade to the latest version of OnTap available for that hardware platform.

Resetting a password is very easy, During the boot hit Control + C to enter in to Special Menu and one of the options there will allow to you to reset the password.

Licenses are a whole other story. Licenses do not transfer with Used equipment. If you buy a used FAS270 will have to buy an "FCP" license to access it over Fibre Channel.

We are considering getting some used netapps equipment. I am mostly concerned with the pitfalls of licensing and would be grateful for any pointers.

Specifically we are currently looking at a FAS270. We want to connect it via fibre channel to a FC switch and then two FC HBAs on different hosts. I do not want to end up with a door stop product and therefore I would like to know if:

Will I have any problems resetting any existing passwords that might exist on the filer?
Is the license required to access the filer via fibre channel optional or will any licensed filer support it?
